1. Introduction & Acceptance

Welcome to Convey U All. These Terms and Conditions (“Terms”) govern your access to and use of all websites, platforms, software, services, and deliverables provided by MG Ray Infotech (operating as Convey U All) (“Company”, “we”, “us”, or “our”), including but not limited to conveyuall.com (the “Platform”).

By accessing the Platform, placing an enquiry, entering into a service agreement, or otherwise engaging with our services, you (“Client”, “User”, or “you”) confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree, you must immediately discontinue use of the Platform and our services.

3. Scope of Services

Convey U All provides technology services including, but not limited to:

  • Custom web and mobile application development
  • Artificial Intelligence integration and automation solutions
  • Cloud infrastructure setup, migration, and management
  • Enterprise Resource Planning (ERP) and CRM implementation
  • Business Process Automation (BPA)
  • IT networking and surveillance infrastructure
  • Strategic enterprise and technology consulting

 

Specific deliverables, timelines, milestones, and fees for each engagement are defined in a separate Statement of Work (SOW), Service Agreement, or Proposal mutually executed by both parties. In the event of conflict between these Terms and a signed SOW, the SOW shall prevail.

 

4. User Eligibility & Account Responsibility

You represent and warrant that:

  • You are at least 18 years of age and have legal capacity to enter into binding agreements;
  • If acting on behalf of a business entity, you are authorised to bind that entity to these Terms;
  • All information you provide to us is accurate, current, and complete;
  • You will promptly update us of any changes to such information.

 

You are solely responsible for maintaining the confidentiality of any account credentials, access tokens, or project portals we provide. You agree to notify us immediately of any unauthorised access.

 

5. Intellectual Property Rights

5.1 Pre-existing IP

Each party retains full ownership of intellectual property it owned prior to the engagement. Nothing in these Terms transfers pre-existing IP to the other party.

5.2 Work Product

Upon receipt of full payment, all custom-developed deliverables specifically created for you under a signed SOW shall transfer to you. Until payment is received in full, the Company retains all rights in the work product.

5.3 Company IP

Our proprietary frameworks, tools, methodologies, processes, code libraries, and general know-how remain the exclusive property of Convey U All at all times and are not transferred unless expressly stated in a signed agreement.

5.4 Portfolio Licence

You grant us a non-exclusive, royalty-free licence to reference your project and display anonymised or agreed screenshots in our portfolio, case studies, and marketing materials. You may withdraw this licence by written notice; withdrawal does not apply retrospectively to already-published materials.

 

6. Payment Terms

  • Fees are as agreed in the relevant SOW or Proposal.
  • Invoices are due within 14 calendar days of issuance unless otherwise stated.
  • Late payments attract interest at 1.5% per month (or the maximum permitted by applicable law, whichever is lower).
  • We reserve the right to suspend services for invoices overdue by more than 30 days.
  • All fees are exclusive of applicable taxes (GST, VAT, withholding tax, etc.). Each party is responsible for its own tax obligations.
  • Refund eligibility is governed by the individual SOW; in the absence of a refund clause, no refunds are provided for services already rendered.

 

7. Confidentiality

Both parties agree to treat as confidential any non-public business information, technical data, trade secrets, or proprietary information disclosed by the other party (“Confidential Information”). Each party shall:

  • Use Confidential Information solely for the purpose of the engagement;
  • Not disclose Confidential Information to third parties without prior written consent;
  • Apply at least the same standard of care as it applies to its own confidential information, but no less than reasonable care.

 

This obligation survives termination of these Terms for a period of three (3) years, except for trade secrets which are protected indefinitely.

 

8. Data Protection & Privacy

8.1 Indian Law — DPDP Act 2023

We comply with the Digital Personal Data Protection Act, 2023 (India). Personal data collected from Indian users is processed on lawful grounds (consent or legitimate interest), stored securely within India or in jurisdictions that provide an adequate level of protection, and handled in accordance with our Privacy Policy.

8.2 European Union — GDPR

For users in the European Economic Area (EEA), we act as a Data Controller or Data Processor as applicable. We comply with the General Data Protection Regulation (EU) 2016/679. EEA users have rights to access, rectify, erase, restrict, port, and object to processing of their personal data. Requests should be directed to info@conveyuall.com. Where we transfer data outside the EEA, appropriate safeguards (e.g., Standard Contractual Clauses) are in place.

8.3 United States — CCPA / CPRA

California residents have rights under the California Consumer Privacy Act (CCPA) as amended by CPRA, including the right to know, delete, and opt out of the sale of personal information. We do not sell personal information. To exercise rights, contact info@conveyuall.com. We do not discriminate against users for exercising their privacy rights.

8.4 General

9. Acceptable Use

You agree not to:

  • Use our Platform or services for any unlawful purpose or in violation of any applicable law;
  • Attempt to gain unauthorised access to any system, network, or data;
  • Introduce malware, viruses, or other harmful code;
  • Scrape, copy, or reverse-engineer any part of our Platform without prior written consent;
  • Use our services to infringe any third-party intellectual property, privacy, or other rights;
  • Engage in any activity that disrupts or interferes with the integrity or performance of our services.

 

10. Third-Party Services & Links

Our services may integrate with or link to third-party platforms (e.g., payment gateways, cloud providers, APIs). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to their own terms and privacy policies.

 

11. Warranties & Disclaimers

We warrant that services will be performed with reasonable skill and care in accordance with industry standards.

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

 

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM;
  • IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL;
  • NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR FRAUD, GROSS NEGLIGENCE, DEATH, OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

 

Indian users: liability exclusions apply to the extent permitted under the Consumer Protection Act, 2019, and the Information Technology Act, 2000.

EU users: liability exclusions apply to the extent permitted under applicable Member State law, including mandatory consumer protection provisions.

 

13. Indemnification

You agree to indemnify, defend, and hold harmless Convey U All and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Platform; or (c) your infringement of any third-party rights.

 

14. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, pandemics, power outages, internet disruptions, labour disputes, or acts of war or terrorism. The affected party shall promptly notify the other and use reasonable efforts to resume performance.

 

15. Term & Termination

  • These Terms remain in effect for the duration of your use of the Platform and any active service engagement.
  • Either party may terminate a project engagement for material breach not cured within 14 days of written notice.
  • We may suspend or terminate your access to the Platform immediately if you violate these Terms, engage in illegal activity, or pose a risk to our systems or other users.
  • Upon termination, provisions that by nature should survive (including IP, confidentiality, limitation of liability, and governing law) shall continue to apply.

 

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of India, specifically the laws of the State of Rajasthan, without regard to conflict-of-law principles.

16.2 EU & UK Users

Nothing in this section deprives EU or UK consumers of mandatory protections afforded under applicable consumer law in their country of residence.

16.3 Dispute Resolution

In the event of a dispute, the parties shall first attempt good-faith resolution through negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with a sole arbitrator appointed by mutual agreement, proceedings conducted in Jaipur, Rajasthan, India, in the English language. Courts in Jaipur, Rajasthan shall have exclusive jurisdiction for matters not subject to arbitration.

 

17. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email and post the revised Terms on our Platform with an updated effective date. Continued use of our services after changes take effect constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.

 

18. Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right does not constitute a waiver of that right.

 

19. Entire Agreement

These Terms, together with our Privacy Policy and any signed SOW or Service Agreement, constitute the entire agreement between you and Convey U All and supersede all prior discussions, representations, or agreements relating to the subject matter.
